Terms and Conditions of Service

1. Introduction

These Terms and Conditions (the “Terms”) govern all access to and use of the Catalogueflow website, applications, APIs, and related services (collectively, the “Services”) provided by Catalogueflow LLC, a limited-liability company organised under the laws of the State of Wyoming (USA) with its registered office at 30 N Gould St Ste N, Sheridan, WY 82801, United States (the “Company,” “Catalogueflow,” “we,” “us,” or “our”). By using the Services, you (the “User,” “you,” or “your”) agree to be bound by these Terms and by our Privacy Policy, which is incorporated herein by reference.

If you accept these Terms on behalf of a legal entity, you represent that you have authority to bind that entity; in such case, “you” refers to the entity.

3. Eligibility & Acceptance

You must be at least eighteen (18) years of age and legally capable of entering into contracts to use the Services. If you do not agree with these Terms, do not access or use the Services.

4. Modifications

We may revise these Terms at any time by posting the updated version on our site and changing the “Last updated” date. Material changes take effect thirty (30) days after posting. Continued use after that period constitutes acceptance.

5. Description of the Services

Catalogueflow currently offers, among other functions:

  1. CatalogueFlow Descriptions – automatic creation of AI-based product descriptions for e-commerce and marketplaces.
  2. ImageFlow Generation – creation of product or marketing images via generative AI.
  3. Personal Shopper – on-site conversational assistant for end-customers.
  4. Personal Agent – internal AI assistant for sales teams (includes custom setup).
  5. Voice Calls – telephony integration powered by Twilio for voice interactions.

AI output is produced with third-party large-language or diffusion models (e.g. OpenAI GPT, Google Gemini). While we strive for accuracy, AI output may be incomplete, incorrect, or legally insufficient. You remain solely responsible for verifying and approving all AI-generated Content.

6. Account Registration & Security

You must provide accurate, complete, and up-to-date information when creating an Account and maintain the confidentiality of your login credentials. You are fully responsible for all activity under your Account, authorised or not.

7. Fees & Billing

7.1 Subscription Plan

The Pro Plan renews automatically at the start of each billing period unless cancelled at least three (3) days prior to renewal.

7.3 Taxes & Currency

Prices are quoted in euros (€) and exclude VAT, GST, or similar taxes. You are responsible for paying all applicable taxes.

7.4 Payment Processing & Refunds

We process payments through third-party providers; their terms apply. Except as required by law, all payments are non-refundable.

8. Permitted Use & Restrictions

You agree not to: (i) use the Services for unlawful, harmful, or deceptive purposes; (ii) input or generate Content that infringes third-party rights, is defamatory, or violates privacy laws; (iii) reverse-engineer or interfere with the Services; (iv) resell or sublicense the Services without our prior written consent.

9. Intellectual Property

The Services and all related intellectual-property rights are owned by or licensed to Catalogueflow. Subject to compliance with these Terms, we grant you a limited, non-exclusive, non-transferable licence to access and use the Services. We claim no ownership over Content you provide; you grant us a licence to process it solely to operate the Services.

10. Privacy & Data Processing

We process personal data in accordance with our Privacy Policy and applicable data-protection laws, including the GDPR where relevant. You act as controller and Catalogueflow acts as processor with respect to personal data processed on your behalf. A Data Processing Addendum (DPA) is available upon request.

11. AI Output Disclaimer

AI output may contain factual inaccuracies or biases and should not be considered professional advice. Catalogueflow does not warrant that generated Content will meet legal, regulatory, or business requirements. You should independently review and verify all output.

12. Third-Party Services & Integrations

The Services may depend on or link to third-party services. We are not responsible for those services. Use of third-party services is governed solely by the third party’s terms.

13. Availability & Support

We endeavour to maintain 99% monthly uptime (excluding scheduled maintenance and force majeure). Support is available via support@catalogueflow.com and +34 663 724 256 during business hours (CET). Premium SLAs are available upon request.

14. Disclaimer of Warranties

The Services are provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, or data accuracy.

15. Limitation of Liability

To the maximum extent permitted by law, Catalogueflow’s aggregate liability arising out of or related to the Services shall not exceed the total fees paid by you in the twelve (12) months preceding the event giving rise to liability. Catalogueflow shall not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill.

16. Indemnification

You agree to indemnify and hold harmless Catalogueflow, its officers, directors, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising from your (i) use of the Services, (ii) Content, or (iii) violation of these Terms or applicable law.

17. Term & Termination

These Terms remain in effect until terminated. You may terminate at any time by cancelling your subscription and ceasing use. We may suspend or terminate your access immediately if you breach these Terms, fail to pay fees, or if required to do so by law or a competent authority.

18. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflicts-of-law principles. Any dispute shall be submitted to binding arbitration under the rules of the American Arbitration Association; the seat of arbitration shall be Denver, Colorado, unless otherwise agreed. EU consumers may access the EU’s Online Dispute Resolution platform, but Catalogueflow does not commit to any specific ADR body.

19. Force Majeure

Neither party is liable for delays or failures caused by events beyond its reasonable control, including natural disasters, governmental actions, war, terrorism, labour disputes, internet failures, or outages of third-party services.

20. Assignment

You may not assign or transfer your rights or obligations without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

21. Severability

If any provision of these Terms is held unenforceable, the remaining provisions remain in effect.

22. Entire Agreement

These Terms, together with any Order Forms, the Privacy Policy, and any applicable DPA, constitute the entire agreement between the parties regarding the Services and supersede all prior agreements or understandings.
